These Terms of Service ("Terms") govern your access to and use of the Stagewell AI mobile application and related services (collectively, the "Service") provided by Rich Code Studio LLC, a Florida limited liability company ("Company," "we," "us," or "our").

1. Acceptance of Terms

By creating an account or using Stagewell AI, you acknowledge that you have read, understood, and agree to these Terms and the Privacy Policy. Continued use after updates constitutes acceptance of revised Terms.

2. Eligibility

You must be at least 13 years old to use the Service.

If you are under 18, you represent that you have permission from a parent or legal guardian. If you use the Service on behalf of an organization, you represent that you have authority to bind that organization.

3. Description of Service

Stagewell AI is a general wellness and personal growth application that may include:

• AI-powered coaching and reflections
• Journaling, dream journaling, and self-reflection tools
• Mood, habit, and wellness tracking
• Mindfulness, breathing, and stress-management exercises
• Goal and progress tracking frameworks
• Guided multi-day wellness paths
• Financial wellness tools (budget and savings tracking)
• Nutrition logging and food tracking
• Apple Health integration (reading health metrics, writing mindfulness and dietary data)
• Accountability partner features
• Apple Watch companion app

4. Important Health & Wellness Disclaimer

The Service:

• Is for educational and general wellness purposes only
• Is not a substitute for professional medical or mental health care
• Does not create a doctor-patient or therapist-client relationship
• May not be appropriate for individuals with serious mental health conditions

If you are experiencing a medical or mental health emergency, thoughts of self-harm, or a crisis, contact local emergency services or a crisis hotline immediately.

Stagewell AI does not monitor user content in real time and cannot detect or respond to emergencies.

5. AI-Powered Features

Stagewell AI uses artificial intelligence to provide insights and guidance. You acknowledge that:

• AI responses may be incomplete, inaccurate, or inappropriate
• AI is not human and lacks professional judgment
• You are responsible for how you interpret and apply AI suggestions
• No specific outcomes or results are guaranteed

AI interactions may be used only in anonymized and aggregated form to improve the Service, subject to your choices described in the Privacy Policy.

5.1 AI Data Sharing Controls

You can control what personal context is shared with the AI coaching service through in-app settings, including whether to share your name, health data summaries, and journal excerpts. See our Privacy Policy Section 3 for details.

5.2 Local AI Option

You may configure the Service to use a local AI model for on-device processing. In this mode, coaching data does not leave your device or local network.

6. Accounts & Security

You agree to:

• Provide accurate registration information
• Safeguard your credentials
• Accept responsibility for activity under your account
• Notify us of unauthorized use

7. Subscriptions & Payments

7.1 Free & Premium Features

Stagewell AI offers free features and optional paid subscriptions for premium functionality.

7.2 Auto-Renewable Subscriptions

The following auto-renewable subscriptions are available:

• Stagewell AI Premium - Monthly subscription ($9.99/month) - Unlocks advanced AI coaching features
• Stagewell AI Premium - Annual subscription ($99.99/year, $8.33/month) - Full premium access with annual savings
• Stagewell AI Premium Plus - Annual subscription ($149.99/year, $12.50/month) - Premium features plus enhanced AI capabilities

Payment and Renewal: Subscriptions automatically renew at the end of each subscription period unless canceled at least 24 hours before the current period ends. Your Apple ID account will be charged within 24 hours before the current period expires.

Managing Subscriptions: You can view, change, or cancel your subscription at any time by going to your Apple ID account settings after purchase or through the App Store app on your device.

7.3 Billing

Payments are processed by Apple via In-App Purchase. All subscription prices are in USD and may vary in other currencies or regions.

7.4 Cancellations & Refunds

You may cancel at any time via your device subscription settings. Refunds, if any, are handled in accordance with Apple's App Store policies. No refunds are provided for unused portions of subscription periods.

7.5 Price Changes

We may change pricing with advance notice as required by law and platform rules. Price changes will not affect your current subscription period.

If there is any conflict between these Terms and Apple's App Store terms, Apple's terms govern payments and subscriptions.

8. Acceptable Use

You agree not to misuse the Service, including by:

• Violating laws
• Harassing or harming others
• Attempting unauthorized access
• Reverse engineering the Service
• Uploading malicious content
• Sharing account credentials

9. User Content

You retain ownership of content you create. You grant us a limited, non-exclusive license to store and process your content solely to operate and improve the Service.

You are responsible for ensuring your content complies with applicable laws.

10. Intellectual Property

All Service content, software, and branding are owned by Rich Code Studio LLC and protected by law. Unauthorized use is prohibited.

11. Third-Party Services & Data

Stagewell AI integrates with the following third-party services. Their respective terms and policies apply:

• Apple platform services: HealthKit, CloudKit (iCloud sync), WeatherKit, StoreKit (in-app purchases), Sign in with Apple
• Supabase: Backend database, authentication, and AI request proxy
• OpenAI: AI coaching responses (processed via server-side proxy; inputs/outputs are not used to train OpenAI's models per their API data usage policy)
• PostHog: Product analytics using anonymous internal identifiers (no IDFA, no cross-app tracking)
• Google Sign-In: Optional authentication method

11.1 Open Food Facts

Food data may be sourced from Open Food Facts under the Open Database License (ODbL). Attribution and share-alike terms apply.

11.2 USDA FoodData Central

USDA food data is public domain.

12. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." WE DISCLAIM ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• We are not liable for indirect or consequential damages
• Total liability shall not exceed the greater of $100 or amounts paid in the prior 12 months

14. Indemnification

You agree to indemnify and hold harmless Rich Code Studio LLC from claims arising from your use of the Service or violation of these Terms.

15. Termination

We may suspend or terminate access if you violate these Terms or if continued use poses legal, security, or safety risks. You may stop using the Service at any time.

16. Governing Law & Disputes

These Terms are governed by the laws of the State of Florida, USA.

Except where prohibited by law, disputes shall be resolved by binding arbitration administered by the American Arbitration Association. You retain the right to bring eligible claims in small claims court.

Nothing in these Terms limits consumer rights under applicable law.

17. Changes

We may update these Terms and will notify you of material changes.

18. Severability

If any provision is unenforceable, the remaining provisions remain in effect.
